3. Payment Terms

  • A deposit of 30–40% of the total amount is required upon contract signing to secure services.
  • The balance must be settled within 25 working days after the event or project completion.
  • Unless otherwise stated, overdue payments will incur daily interest at 0.05% of the outstanding amount.

4. Scope of Services & Responsibilities

  • The Company shall provide design, production, setup, and related services in accordance with industry standards.
  • The client must provide all required information on time. The Company shall not be liable for delays caused by late or insufficient client input.
  • Losses arising from venue conditions, third parties, weather, or other uncontrollable factors are borne by the client, though the Company will provide reasonable assistance.

5. Equipment & Venue Responsibilities

  • The event venue must meet the Company’s requirements (e.g. safety load, power supply).
  • If equipment is damaged due to negligence by the client or related personnel, the client shall bear repair or replacement costs.
  • The Company may propose safety improvements, and the client must cooperate accordingly.

6. Confidentiality

Both parties must keep the contract details, business, and technical documents strictly confidential.
Disclosure to third parties without prior written consent is prohibited, unless required by law.


7. Intellectual Property

Copyright of all production outcomes belongs to the Company.
The client is granted usage rights only.
Any transfer, publication, or public disclosure requires prior written consent from the Company.


8. Force Majeure

Force majeure includes natural disasters, war, pandemics, strikes, fires, and other unforeseeable events.

  • Both parties must provide written notice and proof of such events.
  • Rescheduling can be negotiated within two months after the event.
  • If no agreement is reached, the contract may be terminated, and the client bears costs already incurred.
  • Neither party shall be held liable for breach caused by force majeure.

9. Adverse Weather Arrangements

  • If the Hong Kong Observatory issues Typhoon Signal No. 8 or aboveBlack Rainstorm, or Super Typhoon Signal on the event day, the event will be postponed or suspended.
  • Once warnings are lifted, the event will resume as soon as possible (allowing 3–4 hours for transportation and preparation).
  • Any additional transportation costs incurred shall be borne by the client upon receipt submission.

10. Rescheduling & Cancellation Policy

Rescheduling

  • Due to bad weather or major public safety incidents: rescheduling within two months is free of charge.
  • Other circumstances:
    • Notice 5+ working days in advance: free of charge.
    • Notice within 5 working days but more than 24 hours: up to 50% charge.
    • Notice within 24 hours: up to 100% charge.
    • For custom props/exhibits/printed materials: 100% charge once completed.

Cancellation

  • For non-weather reasons:
    • Notice 7+ working days in advance: free of charge.
    • Notice within 7 working days: 50% charge.
    • Custom props/exhibits/printed materials: 100% charge once completed.

Final interpretation and decision rights rest with the Company.


11. Dispute Resolution

This contract is governed by the laws of the Hong Kong Special Administrative Region.
In the event of disputes, both parties shall first attempt amicable negotiation. Failing resolution, the matter shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration.


12. Safety & Compliance

All equipment and services provided by the Company comply with relevant Hong Kong laws and safety standards.
Clients must also cooperate to maintain venue safety and adhere to relevant regulations.


13. Contract Termination

In case of serious breach by either party, if the breach is not remedied within 30 days of written notice, the compliant party may terminate the contract.
Obligations incurred prior to termination remain enforceable.
